The video presentations and the written materials that are sent to you via e-mail, for locating properties in foreclosure in Oregon" (hereinafter "the Videos and E-mails") are provided to you, the user ("User"), conditioned upon your acceptance of the terms, conditions, and notices contained in this User Agreement, without modification. User’s use of the Videos and E-mails constitutes acceptance of the User Agreement, its contents, and an acknowledgment of the terms and conditions and the notices set forth below. If, at any time, the terms, conditions and notices contained herein are not acceptable to you, or if you do not consent to be bound by the terms, conditions, and notices contained herein, you are directed to immediately discontinue your use of the Videos and E-mails. Use of the information and/or materials contained in the Videos and E-mails, as a basis for any financial decision by the User, is done strictly at the User’s sole risk. The User is directed to independently verify all information that is used in conjunction with any decision to purchase real property. 

DISCLAIMER OF LIABILITY AND RELIABILITY: 

Throughout the development of the Videos and E-mails, a thorough and diligent effort was made to provide the User with the most timely and accurate information available. In spite of this, inadvertent errors may occur, and applicable statutes and administrative rules may be amended, modified and/or otherwise changed as a result of the passage of new legislation, administrative rules, and/or court rulings. In particular, and without limitation, the author, Rules Made Simple, Inc., rulesmadesimple.com, and their affiliates disclaim any responsibility for typographical errors and/or the accuracy of information set forth in the Videos and E-mails. The author, Rules Made Simple, Inc., rulesmadesimple.com, and their affiliates make no representations and/or warranties as to the accuracy, adequacy, completeness, quality, suitability, and/or timeliness of the information and materials contained in the Videos and E-mails.

The author, Rules Made Simple, Inc., rulesmadesimple.com, their affiliates and/or any other party involved in the creation, preparation, and/or distribution of the Videos and E-mails shall not, under any circumstances, be liable for any direct, indirect, punitive, special, incidental, and/or consequential damages, including, without limitation, lost revenues, and/or lost profits, arising out of and/or in any manner connected with the use of the information and/or materials contained in the Videos and E-mails, whether based on tort, strict liability, contract or otherwise, even if the author, Rules Made Simple, Inc., rulesmadesimple.com, their affiliates and/or any of its employees/agents have been advised of the possibility of damages.

INDEMNIFICATION BY USER: 

As a condition of use of the Videos and E-mails, User agrees to forever indemnify, hold harmless, and defend the author, Rules Made Simple, Inc., rulesmadesimple.com, their affiliates, and agents against any and all claims, actions, loss, damages, costs, fees, expenses (including attorney's fees) and/or other liability of any description arising out of and/or in any manner connected with User's use of the Videos and E-mails, including, without limitation, any claims alleging facts that if true would constitute a violation of the terms, conditions, and notices contained in this "Terms of Service, Conditions of Use, Liability Disclaimer, and User Agreement". In the event of any litigation or proceeding brought against the author, Rules Made Simple, Inc., rulesmadesimple.com, and their affiliates and arising out of or in any manner connected with User’s use of the Videos and E-mails, User agrees to defend the author, Rules Made Simple, Inc., and their affiliates, and shall upon notice, vigorously resist and defend such actions or proceedings in consultation with the author, Rules Made Simple, Inc., and their affiliates through legal counsel reasonably satisfactory to the author, Rules Made Simple, Inc., rulesmadesimple.com, and their affiliates.

REFERENCES TO OTHER WEB SITES AND PUBLICATIONS:

User acknowledges that no employment, partnership, joint venture, attorney-client, and/or agency relationship exists between the User and the author, Rules Made Simple, Inc., rulesmadesimple.com, and their affiliates. User agrees not to hold himself or herself out as an agent, client, employee, and/or representative of the author, Rules Made Simple, Inc., rulesmadesimple.com, and their affiliates. SUBMISSION OF INFORMATION AND/OR MATERIALS:

JURISDICTION AND VENUE:

The "Terms of Service, Conditions of Use, Liability Disclaimer, and User Agreement" shall be governed by, construed, and enforced in accordance with the laws of the State of Oregon. By use of the Videos and E-mails, User acknowledges and consents to the exclusive jurisdiction and venue in The Circuit Court for the State of Oregon, for the County of Marion (Salem, Oregon), in all disputes and/or controversies arising out of or relating to User’s use of the Videos and E-mails. Furthermore, use of the Videos and E-mails are not permitted and/or authorized in any jurisdiction that does not give full legal effect to all of the terms, conditions, and notices contained in this "Terms of Service, Conditions of Use, Liability Disclaimer, and User Agreement".

SEVERABILITY:

Should any part, term, and/or provision of this "Terms of Service, Conditions of Use, Liability Disclaimer, and User Agreement" be determined to be invalid or unenforceable pursuant to Oregon law, then the remaining portions and/or provisions of the "Terms of Service, Conditions of Use, Liability Disclaimer, and User Agreement" shall continue to remain in full force and effect.

CAPTIONS:

The captions for the paragraphs of this "Terms of Service, Conditions of Use, Liability Disclaimer, and User Agreement" are for convenience only, and shall not be considered as part of the agreement in any respect, and shall not affect the substance of any provision and/or paragraph contained herein.

ENTIRE AGREEMENT:

This "Terms of Service, Conditions of Use, Liability Disclaimer, and User Agreement" constitutes the entire agreement established with the User with regard to User’s use of the Videos and E-mails and it supersedes all prior or contemporaneous communications, whether electronic, oral or written. This agreement shall be deemed to include all other terms, conditions, notices, policies, and disclaimers contained in the Videos and E-mails. In the event of a conflict between the terms, conditions, notices, policies, and disclaimers contained in the Videos and E-mails and the terms, conditions, notices, policies, and disclaimers contained in this agreement, the terms of this "Terms of Service, Conditions of Use, Liability Disclaimer, and User Agreement" shall control.

Any rights not expressly granted herein are reserved.
